MRC Industries – Terms of Trade
1. General
MRC Industries provides precision waterjet cutting services to a wide range of customers. By engaging our services, you agree to the following terms of trade.
2. Quotes and Orders
Quotes are valid for 30 days unless otherwise stated. Prices are based on information supplied at the time of quoting. Any changes to drawings, quantities, material, or job specifications may result in price and lead time adjustments.
3. Customer-Supplied Files and Materials
You are responsible for ensuring the accuracy and completeness of any files or materials supplied. All files must be in a compatible format (e.g. DXF). We may request confirmation of critical dimensions or tolerances.
We will take reasonable care with all customer-supplied materials, but accept no liability for defects, inconsistencies, or loss unless due to our own negligence.
4. Job Changes and Communication
All instructions, approvals, changes, or complaints must be provided in writing. This ensures traceability and protects both parties from misunderstandings.
5. Lead Times and Scheduling
Estimated lead times are based on capacity and material availability at the time of quote acceptance. Urgent jobs can often be accommodated, but must be agreed upon in writing.
6. Quality and Non-Conformance
We inspect each job prior to dispatch. If you believe the job does not meet the agreed requirements, you must notify us in writing within 5 business days. We may request photos or return of parts for inspection. If we are at fault, we will offer rework or replacement at our discretion.
7. Data and File Retention
MRC Industries retains customer-supplied files, job records, and related documentation for a minimum of 12 months from the date of job completion, unless otherwise agreed in writing. Files may be archived or deleted after this period. Customers are responsible for their own long-term file storage unless prior arrangements are made.
8. Third-Party Services
Where subcontracted services (e.g. folding, powder coating) are arranged by MRC Industries, we use trusted providers. However, we are not liable for delays or defects caused by third parties.
9. Payment Terms
Unless otherwise agreed, payment is required on pick up or prior to shipping. Late payments may incur fees or hold future jobs until settled.
9.1 Debt Recovery Costs
In the event of non-payment, the customer shall be liable for all costs incurred by MRC Industries in the recovery of the debt, including but not limited to legal fees, court costs, interest, and third-party debt collection agency fees.
9.2 Interest on Overdue Invoices
MRC Industries reserves the right to charge interest on overdue invoices at a rate of 2% per month (24% per annum), calculated daily, from the due date until payment is received in full.
10. Limitation of Liability
Our liability is limited to the cost of the services provided. We are not responsible for indirect or consequential losses including production downtime or lost revenue.
12. Force Majeure (delays out of your control)
MRC Industries will not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including supplier delays, natural disasters, equipment breakdown, or labour shortages.
13. Intellectual Property (for customer-supplied drawings)
Customers retain ownership of their intellectual property in supplied drawings and designs. MRC Industries agrees not to reproduce, share, or use this data outside of the agreed job scope without written consent.
